1. About these terms
SensiDocs is operated by 1001449298 Ontario Inc., doing business as “SensiDocs” (“SensiDocs”, “we”, “us” or “our”). These terms apply to our website, web application, API, webhooks and document email addresses (together, the “service”). “Customer”, “you” and “your” mean the company or organization that signs up for the service, and “users” means the people it allows to use its account.
Our Privacy Policy explains how we handle personal data, and our Data Processing Addendum applies to personal data in documents you submit. Both form part of these terms.
2. Accepting these terms
By creating an account, clicking to accept, or using the service, you agree to these terms. If you are accepting on behalf of a company, you confirm that you have authority to bind that company. If you do not agree, do not use the service. If you have signed a separate written agreement with us, that agreement controls where it conflicts with these terms.
3. The service
SensiDocs lets you submit documents (PDF, JPG or PNG) by uploading them, forwarding them by email to your private document address, or sending them through our API. Text is read from each document and sent to Anthropic's Claude API to extract fields and to verify them in a second, independent pass. The results are stored so your users can review, correct and approve them, export them (CSV or Excel), send them to QuickBooks Online if you connect it, or retrieve them through the API and webhooks. Document packs cover logistics documents, accounts payable, insurance submissions, vendor compliance forms, tax forms and staffing paperwork.
We may improve, change or discontinue features of the service over time.
4. Accounts and seats
- You must give accurate information when you sign up and keep it up to date.
- Your plan includes a number of seats. Each seat is for one named person and may not be shared.
- Account admins control who has access and what role each user has (for example, admin or operator). You are responsible for your users and for everything done through your account.
- Tell us promptly at [email protected] if you believe your account has been used without permission.
5. Acceptable use
You and your users must not:
- upload, forward or send any content that is unlawful, or use the service for any unlawful purpose;
- submit documents or personal data that you do not have the right to process, or that you have not given any notices or obtained any consents for that the law requires;
- use the service to send unsolicited, bulk or spam messages, or approve outbound emails to people you have no legitimate reason to contact;
- reverse engineer, decompile, copy or attempt to extract the source code or underlying models of the service, except where the law expressly permits it;
- interfere with, overload or disrupt the service, including by exceeding reasonable request rates, or try to get around plan limits, security or access controls;
- try to access another customer's data or any part of the service you are not authorized to use;
- upload malware or anything designed to harm systems or data;
- resell or provide the service to third parties unless we agree in writing.
We may suspend access, or remove content, if we reasonably believe these rules have been broken or the service or other customers are at risk.
6. Your data
You own your documents and the data extracted from them (“customer data”). You give us a limited, non-exclusive license to host, copy, process, transmit and display customer data only as needed to provide, secure and support the service for you, and to meet our legal obligations. This includes sending document text to our service providers, such as Anthropic, as described in our Privacy Policy.
We do not use customer documents to train AI models, and we do not sell customer data. You are responsible for the accuracy and legality of the customer data you submit and for having the rights needed for us to process it.
You can ask us to delete documents or your account by emailing [email protected].
If you send us feedback or suggestions about the service, we may use them without any obligation to you.
7. AI output and human review
The service uses AI to read and extract data, and AI output can be wrong. Every field has a confidence score and anything doubtful is flagged, but flags will not catch every error. You are responsible for reviewing and approving data before you rely on it, export it, send it to another system such as QuickBooks Online, or send it to anyone else. Extracted data is not legal, tax, accounting or insurance advice.
8. Outbound emails need your approval
When information is missing, the service can draft requests to your suppliers, vendors or other counterparties. No email is sent to anyone outside your company unless a person at your company approves that specific email. Internal requests notify your own teammates inside the app. You are responsible for the emails you approve, including their content, their recipients and compliance with laws that apply to them.
9. API keys and credentials
- API keys are shown only once, when they are created, and we store them only as hashes. Keep them secret, store them securely, and do not put them in public code or client-side apps.
- You are responsible for all activity that uses your API keys, passwords and integration connections. Revoke and replace any key you think has been exposed.
- Use the signing secret to check the HMAC signature on webhooks before trusting them.
10. Plans, fees and limits
- Paid plans are billed monthly or annually, in advance, through Stripe.
- Each plan includes a number of results each month (on the free trial, a number of results in total) and a number of seats. Results beyond your plan are charged at your plan's price per extra result, or taken from prepaid credit, up to any spending limit you set. When a limit is reached, uploads stop until you add credit, raise the limit or change plan.
- A result that SensiDocs read wrongly is not charged when you reject it for that reason, as described on our pricing page.
- Add-ons. Some features, such as the Microsoft Outlook connection, are paid add-ons. An add-on is available on paid plans, is billed monthly in advance on top of your plan, and renews each month until you cancel it. Cancelling an add-on ends it at the end of the month you have paid for. Documents an add-on sends to SensiDocs use results like any other document. If your paid plan ends, your add-ons end with it and are not billed again.
- By providing a payment method, you authorize us, through Stripe, to charge it for your plan on each renewal until you cancel.
- Fees do not include taxes unless we say so. You are responsible for any taxes that apply to your purchase, other than taxes on our income.
- We may change our prices. Changes apply from your next billing period after we tell you about them.
- Refunds. Fees and prepaid credit are non-refundable, except: (a) where the law requires a refund; (b) if we charged you in error, we refund the amount charged in error; and (c) if we close your account without cause, or stop offering the service, we refund the unused part of any prepaid plan fee and any unused prepaid credit. When you cancel, we do not refund the rest of the billing period you have already paid for. Prepaid credit expires 12 months after purchase.
11. Failed payments
If a payment fails, there is a 7-day grace period to fix it. If payment still has not succeeded after that, uploads, email-in and the API are paused until payment succeeds. While paused, your existing documents stay available to review and export.
12. Cancellation
You can cancel your paid plan at any time. Your paid plan stays active until the end of the current billing period. Your account then stays open: your documents remain available to review and export, and you can keep using SensiDocs with prepaid credit at the pay-as-you-go price.
13. Third-party services
Some features rely on services we do not control. Payments are processed by Stripe, and the QuickBooks Online integration connects to Intuit QuickBooks only if you choose to connect it. Your use of those services is subject to their own terms and privacy policies. We are not responsible for third-party services, and once you send data to them, their terms govern how it is handled.
14. Our intellectual property
We and our licensors own the service, including its software, design and documentation. Subject to these terms, we give you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes while your account is active. We reserve all rights not expressly granted.
15. Availability and disclaimers
The service is provided “as is” and “as available”. We do not commit to any particular uptime or availability unless we agree to it in a separate written agreement signed by us.
To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that extracted data will be accurate or complete.
16. Limitation of liability
To the fullest extent the law allows:
- neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if it was told they were possible;
- each party's total liability arising out of or relating to these terms or the service will not exceed the greater of (a) the fees you paid us for the service in the 12 months before the event that gave rise to the claim, and (b) US$100.
These limits do not apply to (a) your obligation to pay fees you owe, (b) your obligations under section 17 (Indemnity), (c) a party's fraud or wilful misconduct, or (d) liability that cannot be limited under applicable law.
17. Indemnity
You will defend and indemnify 1001449298 Ontario Inc. and its officers, employees and contractors against third-party claims, and the resulting losses, damages and reasonable costs (including legal fees), that arise from customer data you submit, emails you approve, your use of the service in breach of these terms, or your violation of any law or third-party right.
18. Suspension and termination
- You may stop using the service and cancel at any time, as described in section 12.
- We may suspend or terminate your access if you materially breach these terms, if required by law, or if your use creates a security or legal risk to the service or others. Where reasonable, we will tell you first and give you a chance to fix the problem.
- Sections that by their nature should survive termination will survive, including those on your data, fees owed, disclaimers, limitation of liability, indemnity and governing law.
19. Changes to these terms
We may update these terms from time to time. We will post the new version on this page and change the “last updated” date. If a change is material, we will take reasonable steps to notify account admins before it takes effect. If you keep using the service after changes take effect, you accept the updated terms.
20. Governing law and disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in it, without regard to conflict of law rules. Any dispute will be resolved in the courts of the Province of Ontario, and both parties consent to their jurisdiction.
21. General
- You may not assign these terms without our written consent. We may assign them as part of a merger, acquisition or sale of assets.
- If any part of these terms is found unenforceable, the rest stays in effect.
- If we do not enforce a right, that is not a waiver of it.
- Neither party is liable for delays caused by events beyond its reasonable control.
- These terms, together with the Privacy Policy, the Data Processing Addendum and any order or plan you select, are the entire agreement between us about the service.
